Submissions older than 5 years will expire
The Alexander County Register of Deeds (RoD), Scott H. Hines, records ASsumed Business Name (ABN) documents in his office for county corporations or anyone who wishes to record ABNs. Some know the adopted business name as “doing business as” or DBA. It is a fictional name by which a company wishes to be known or do business.
Local business owners should be aware of upcoming deadlines related to the North Carolina business name adoption process. Register Hines reports that all assumed company names filed before December 1, 2017 will automatically expire on December 1, 2022 based on the Act on Accepted Business Names (Chapter 66. Article 14A) (NC GS § 66-71.15).
Businesses wishing to renew their ABN must register new assumed business names (ABN) in the Register of Deeds Office by December 1st; Otherwise, according to Register Hines, their old certificates will no longer be effective after this date. “It takes about 15 days or about 2 weeks for old ABN certificates recorded before December 1, 2017 to automatically expire,” Hines said.
Hines explains that the new process has some positive advantages over the old ABN process. For example, the newly submitted certificates do not expire. They remain effective until they are revoked and entered in the land registry. In the past, companies had to register ABNs in each county individually. The new form allows businesses to place their assumed names in multiple counties or in all 100 NC counties through a check mark on the form and a single record. The Alexander RoD office notifies the Office of the NC Secretary of State of the submission for inclusion in a nationwide online database searchable for all 100 counties.
The new ABN process benefits are:
• Allows applicants to list up to five accepted company names on one form.
• ABN document no longer needs to be notarized.
• An application is valid nationwide and can be searched in an online database.
• Sole proprietorships, corporations, limited liability companies and partnerships now use the same form.
